Happiest Minds Technologies Limited. ITC Infotech India Limited (a wholly owned subsidiary of ITC Limited) signed a Share Purchase Agreement with Happiest Minds founder Mr. Ashok Soota and Ashok Soota Medical Research LLP to acquire 3,36,61,700 equity shares of Happiest Minds Technologies Limited. As a first step under that agreement, a freeze/hold was created in the depository system on 24 September 2026 over 1,69,11,471 shares, the exact number earmarked for transfer to ITC Infotech. This disclosure exists because that freeze is a reportable event under the SEBI Takeover Regulations, even though ownership has not moved. The distinction matters: ITC Infotech does not presently hold any beneficial interest, ownership, economic rights, or voting rights in these shares. Legal and beneficial title, and the votes attached to the shares, remain entirely with Mr. Soota until the transfer closes under the terms of the agreement.
