CG Power and Industrial Solutions Limited. Subject: Qualified institutions placement of equity shares of face value ?2 each (the �Equity Shares�) by CG Power and Industrial Solutions Limited (the �Company�) under the provisions of Chapter VI of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended (the �SEBI ICDR Regulations�), and Sections 42 and 62(1)(c) of the Companies Act, 2013, as amended, including the rules made thereunder (the �Issue�). 1) We wish to inform you that pursuant to the approval accorded by the board of directors of the Company (the �Board�), at its meeting held on 21st October, 2024 and the special resolution passed on 18th December, 2024 by the members of the Company, the Securities Issue Committee (�Securities Issue Committee�) has, at its meeting held today i.e. 30th June, 2025, inter alia, passed resolutions for the following: a. Authorised the opening of the Issue today, i.e. 30th June, 2025; b. Approved the floor price for the Issue, being ?679.08 per Equity Share (�Floor Price�), based on the pricing formula as prescribed under the SEBI ICDR Regulations; and c. Approved and adopted the preliminary placement document dated 30th June, 2025 and the application form in connection with the Issue. 2) We further wish to inform you that the �Relevant Date� for the purpose of the Issue, in terms of Regulation 171(b) of the SEBI ICDR Regulations, is 30th June, 2025 and accordingly the Floor Price in respect of the aforesaid Issue, based on the pricing formula as prescribed under Regulation 176(1) of the SEBI ICDR Regulations is ?679.08 per Equity Share. Pursuant to Regulation 176(1) of the SEBI ICDR Regulations, the Company may, at its discretion, offer a discount of not more than 5% (five percent) on the Floor Price so calculated for the Issue. IIFL Capital Services Limited (formerly known as IIFL Securities Limited), DAM Capital Advisors Limited and HSBC Securities and Capital Markets (India) Private Limited have been appointed as the book running lead managers for the Issue (�BRLMs�). The Issue price will be determined by the Company in consultation with the BRLMs. Please note that the trading window which is already closed will continue to remain closed also for the purpose of the Issue. In this relation, we will file the preliminary placement document dated 30th June, 2025 with the BSE Limited and National Stock Exchange of India Limited on 30th June, 2025. The meeting of the Securities Issue Committee commenced at 07:35 p.m. (IST) and concluded at 08:00 p.m. (IST). We request you to take the above on record and treat the same as compliance under the applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.
